Online Tools & Calculators Terms & Conditions

Last updated: 3 November 2026

These Terms & Conditions apply to paid online calculators, planning tools and related digital subscriptions provided by Prosper Business Limited (“Prosper”, “we”, “us” or “our”).

By purchasing a subscription or accessing a paid tool, you agree to these terms.

1. About our online tools

Prosper provides self-service online calculators and planning tools to help New Zealand business owners better understand their financial position and make informed business decisions.

Depending on the product, these tools may help you:

  • Estimate income tax and GST obligations.

  • Assess tax savings and future cash requirements.

  • Model changes to business income, expenses and profitability.

  • Explore financial scenarios and potential business outcomes.

  • Plan for future business decisions.

Each tool has its own purpose, functionality and calculation assumptions.

Our tools provide indicative estimates and financial modelling. They do not guarantee any particular tax, financial or business outcome.

2. What’s included

Each subscription provides access to the specific tool and any associated resources described on its product page at the time of purchase.

Depending on the product, this may include unlimited calculations, scenario modelling, instructions, educational resources and technical support.

Unless expressly stated otherwise, subscriptions do not include personalised accounting or tax advice, review of financial records, tax return preparation, business consulting or accountant-reviewed calculations.

Additional professional services may be available under a separate engagement and fee.

3. Subscription fees and payments

Subscription pricing, applicable GST, billing frequency and any promotional offers will be displayed on the relevant product page or at checkout.

Subscriptions are billed in advance and renew automatically at the frequency disclosed when you subscribe, unless cancelled before the next renewal.

By subscribing, you authorise the recurring payments disclosed at checkout.

We may change subscription prices from time to time. Where a price increase affects an existing subscription, we will provide notice before renewal so you have an opportunity to cancel.

4. Cancellation and refunds

All subscription payments are final and non-refundable, except where a refund is required by applicable New Zealand law.

We do not provide refunds for change of mind, non-use, partial use, early cancellation or where a subscriber decides a tool is no longer suitable for their needs.

You may cancel your subscription through the available membership management options or by contacting Prosper.

Cancellation prevents future renewals but does not entitle you to a refund for any remaining subscription period.

Access will ordinarily continue until the end of the current paid subscription period.

Nothing in this section excludes or restricts any legal rights or remedies that cannot lawfully be excluded or restricted.

5. Accuracy and assumptions

Our calculators and planning tools rely on information entered by users and the assumptions and calculation methods built into each product.

Results are estimates only.

Actual outcomes may differ due to inaccurate or incomplete information, changes in business circumstances, tax or accounting adjustments, changes in legislation, market conditions or other factors not captured by the relevant tool.

Profitability modelling is based on hypothetical scenarios and does not guarantee increased sales, reduced expenses, improved profits or other financial outcomes.

Tax calculations are indicative and are not final tax assessments.

6. Your responsibilities

You are responsible for:

  • Entering accurate, complete and relevant information.

  • Understanding the purpose and limitations of the tool.

  • Reviewing the assumptions used in your calculations.

  • Making your own business and financial decisions.

  • Meeting your tax, accounting and other legal obligations.

  • Seeking professional advice where appropriate.

Using a Prosper online tool does not transfer responsibility for your business decisions, financial records or regulatory compliance to Prosper.

7. No personalised professional advice

Our online tools provide general information, indicative calculations and financial modelling.

They do not provide personalised accounting, tax, legal, investment or financial advice.

Results should not be relied upon as the sole basis for significant business, financial or tax decisions.

Where you require advice specific to your circumstances, you should consult an appropriately qualified professional.

8. Technical support

Subscriptions may include reasonable technical assistance with access, functionality and suspected errors, as described for the relevant product.

Technical support does not include reviewing accounting records, verifying financial information, interpreting individual results or providing personalised professional advice.

Additional services may be offered separately.

9. Availability and updates

We aim to keep our online tools available and functioning correctly but cannot guarantee uninterrupted or error-free access.

We may undertake maintenance, correct errors, update calculations or make reasonable improvements to our tools and supporting resources.

Where material changes adversely affect an existing paid subscription, we will provide appropriate notice and comply with applicable legal obligations.

10. Privacy and information

Our collection, use, storage and disclosure of personal information is explained in the Prosper Business Privacy Policy, available on our website.

Different tools may handle entered information differently. Any specific data-saving or account functionality will be explained in the relevant product information.

Membership, billing, support and website usage information may be processed by Prosper and its service providers.

11. Intellectual property

Our online tools, including their functionality, design, written content, calculation methods and supporting resources, are owned by Prosper or used under licence.

An active subscription provides a limited, non-exclusive and non-transferable right to access and use the relevant tool for your own business purposes.

You must not copy, reproduce, redistribute, resell, sublicense or commercially exploit our tools or supporting resources without written permission.

You must not share login credentials or provide unauthorised access.

You may retain and use your own calculation results for business planning and record-keeping.

12. Referral programmes

Where a specific tool offers a referral programme, the programme conditions displayed for that product will apply.

For TaxTrack, the current Give $50, Get $50 programme operates as follows:

  1. A new subscriber using a valid referral code receives a $50 discount, excluding GST, on their first annual subscription.

  2. The referring subscriber earns a $50 credit, excluding GST, for each qualifying new subscription.

  3. A qualifying referral must result in a genuine paid subscription that has not been refunded or reversed.

  4. The referral code must be entered during signup unless Prosper agrees otherwise.

  5. Referral rewards are capped at seven successful referrals per membership year.

  6. Credits are applied towards the referring subscriber’s next annual renewal.

  7. Credits cannot be redeemed for cash or transferred.

  8. Credits cannot exceed the relevant renewal subscription fee, excluding GST.

  9. Any unused credit remaining after that renewal expires and does not carry forward.

  10. Prosper may verify referrals and decline fraudulent, duplicate, self-referrals or otherwise ineligible referrals.

Referral programmes may be changed or withdrawn for future referrals with reasonable notice. Valid credits already earned will be honoured in accordance with the terms applying when they were earned.

The applicable GST treatment will be reflected in subscription billing.

13. Limitation of liability

Our online tools are intended to assist with planning and decision-making, not guarantee financial results or replace professional advice.

To the extent permitted by law, Prosper is not responsible for losses arising from inaccurate or incomplete user inputs, reliance on indicative estimates as guaranteed outcomes, or decisions made without appropriate professional advice.

Nothing in these terms excludes or restricts rights, guarantees, remedies or liabilities that cannot lawfully be excluded or restricted.

14. Changes to these terms

We may update these terms to reflect changes in our products, business operations or legal requirements.

The current version will be published on our website.

Where changes materially affect existing subscriptions, we will provide reasonable notice and comply with applicable legal requirements.

15. Governing law

These terms are governed by New Zealand law.
